Elect It When The Numbers Say So
The election, the payroll it requires, and an honest calculation of whether it is worth it for you.
What The Election Involves
S-Corporation status is a tax election made by an eligible corporation or LLC using Form 2553. It changes how profit is taxed, not what the business is legally.
- Entity formed or existing entity confirmed as eligible
- Form 2553 prepared and filed within the election window
- Shareholder eligibility and consent documented
- Payroll registered and a reasonable salary established
- Books set up to track basis and distributions
- Alabama filings aligned with the federal election
The Arithmetic Behind It
The savings come from the portion of profit taken as a distribution rather than salary, which is not subject to self-employment tax. The costs come from running payroll, filing a separate return, and paying a reasonable salary whether the year was good or not.
Below a certain profit level those costs exceed the savings. Above it they do not. The only way to know which side you are on is to run your own numbers, which is what happens before any election is filed here.
Living With The Structure
An S-Corporation is a commitment, not a checkbox. A working owner takes a real salary through payroll with real withholding and quarterly filings. Distributions have to be tracked against basis. The corporate return is due a month ahead of personal returns because shareholders need their K-1s.
All of that is manageable, and it is easier when payroll, bookkeeping, and the return are handled in one place rather than three.
S-Corporation Setup In Huntsville, AL

What Clients Ask About S-Corporation Formation
When is the election deadline?
Generally within a set window early in the tax year you want it to apply to, or within a similar window after forming the entity. Late election relief exists in some circumstances but should not be the plan.
What counts as a reasonable salary?
What a comparable person would be paid to do the same work. It is judged on facts, and it is examined. Setting it too low to reduce tax is the most common exposure in an S-Corporation.
Can I undo the election?
It can be revoked, with timing rules and consequences, and there are restrictions on re-electing afterward. That is a reason to decide carefully rather than experimentally.
